OVERVIEW

Welcome to WYNWYN! The terms “we,” “us,” and “our” refer to WYNWYN LLC (“WYNWYN”). WYNWYN operates this store and website, including all related information, content, features, tools, products, and services, to provide you with a shopping experience (the “Services”). WYNWYN is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with the policies referenced here (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully. They include provisions addressing warranties, limitations of liability, and indemnification. By visiting, interacting with, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you should not use the Services.

SECTION 1 — ACCESS AND ACCOUNT

By agreeing to these Terms, you represent that you are at least the age of majority in your state of residence, or that you are the age of majority and have consented to your minor dependents’ use of the Services on devices you own or manage.

To use the Services or make a purchase, you may be asked to provide information such as your email address, billing information, payment information, delivery address, and phone number. You represent that the information you provide is correct, current, and complete, and that you have the right to provide it.

You are responsible for maintaining the security of your account credentials and for activity under your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2 — OUR PRODUCTS AND ALLERGEN INFORMATION

We make reasonable efforts to represent our products accurately. Product colors and appearance may vary from photographs or from how they appear on your screen. Descriptions, packaging, and availability may change, and we may discontinue products or limit quantities.

Our nut butter products contain nuts. Other ingredients and allergens vary by product. Review the ingredient and allergen information displayed for each product and on its label before purchasing or consuming it. If you have a food allergy, sensitivity, or question about an ingredient, contact info@wynwyn.com before ordering. Do not consume a product if you are unsure whether it is safe for you.

The product label contains information about the product you receive. If the label or seal appears damaged, or you have a concern about a product’s safety, do not consume it; contact us promptly.

SECTION 3 — ORDERS

When you place an order, you make an offer to purchase. WYNWYN reserves the right to accept or decline an order, including because a product is unavailable or the delivery address is outside our service area. An automated order confirmation acknowledges receipt of your order; it does not guarantee that we can fulfill it. We must receive and process payment before fulfilling an order.

Please review your order and delivery information before submitting it. If you need to change or cancel an order, contact us as soon as possible. Changes and cancellations are governed by our Refund Policy and may not be possible once preparation has begun.

If we cannot fulfill a paid order, we will contact you to arrange an appropriate replacement or refund. We may contact you using the email address or phone number supplied with your order.

Purchases are subject to our Refund Policy. Unless we agree otherwise in writing, products purchased through the Site are intended for the purchaser’s use and are not purchased for resale or export.

SECTION 4 — PRICES AND BILLING

Prices, discounts, and promotions may change without notice. The price charged will be the price presented at checkout when you place the order, subject to correction of an error as described in Section 12. Applicable taxes and local delivery charges, if any, will be shown before you submit payment.

A promotion may have separate terms. If those terms conflict with these Terms as to the promotion, the promotion terms will govern.

You agree to provide current, complete, and accurate purchase, payment, and account information. You represent that you are authorized to use the payment method supplied and agree to pay the charges shown at checkout.

SECTION 5 — LOCAL DELIVERY

At launch, online orders are available for local delivery to eligible addresses shown at checkout. We do not offer customer pickup or ordinary carrier shipping for these orders. Delivery will be performed by WYNWYN’s operator, an employee, or a household member.

You must provide a complete and accurate delivery address, a phone number where we can reach you, and any gate code, building access information, or other instructions necessary to complete delivery. We will contact you to coordinate a delivery window. Delivery times are estimates rather than guarantees, and we will communicate with you if the planned time changes.

Please arrange for someone to receive the order at the agreed location and time. If we cannot complete delivery, we will contact you to arrange another time. If delivery cannot be arranged, we will address the order in accordance with our Refund Policy. Contact us promptly if an order is missing, damaged, incorrect, or raises a safety concern.

SECTION 6 — INTELLECTUAL PROPERTY

Our Services, including our trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and their design, selection, and arrangement, are owned by WYNWYN, its affiliates, licensors, or other respective owners and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for personal, noncommercial use and ordinary purchasing purposes. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit material from the Services without our prior written consent, except as allowed by applicable law. Nothing in these Terms grants you a license or other rights under any patent, trademark, copyright, or other intellectual property of WYNWYN, Shopify, or a third party. All rights not expressly granted are reserved.

WYNWYN’s names, logos, product and service names, designs, and slogans are trademarks of WYNWYN or their respective owners. You must not use them without prior written permission. Shopify’s name, logo, product and service names, designs, and slogans are trademarks of Shopify. Other names and marks displayed through the Services belong to their respective owners.

SECTION 7 — OPTIONAL TOOLS

The Services may provide access to tools offered by third parties that we do not control. Such tools may be provided “as is” and “as available,” without endorsement by WYNWYN. Your use of a third-party tool may be subject to that provider’s terms and policies, which you should review before using it.

We may offer new features, tools, or resources through the Services in the future. Unless otherwise stated, those features will be part of the Services and subject to these Terms.

SECTION 8 — THIRD-PARTY LINKS

The Services may contain links to websites or services operated by third parties. We do not control those websites or services and are not responsible for their content, accuracy, privacy practices, or terms. If you choose to use them, review the applicable third party’s policies. Questions or claims about a third-party product or service should be directed to that third party.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

WYNWYN is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with WYNWYN. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and WYNWYN, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with WYNWYN, to the extent permitted by applicable law.

SECTION 10 — PRIVACY POLICY

Personal information collected through the Services is addressed in our Privacy Policy. Certain personal information may also be subject to Shopify’s Consumer Privacy Policy.

Because Shopify hosts the Services, Shopify collects and processes information about access to and use of the Services to provide and improve them. Information submitted through the Services may be shared with Shopify and service providers, including providers located in other countries. Please review our Privacy Policy for more information.

SECTION 11 — FEEDBACK

If you submit, upload, post, email, or otherwise provide ideas, suggestions, feedback, reviews, proposals, plans, or other content (“Feedback”), you grant WYNWYN a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback in any medium for any purpose, including commercial purposes. For example, we may use Feedback to operate, improve, and promote the Services.

You represent that you own or have the rights necessary to provide the Feedback, that you have disclosed any compensation or incentive received in connection with it, and that it complies with these Terms. We have no obligation to keep Feedback confidential, compensate you for it, or respond to it.

We may monitor, edit, or remove Feedback that we determine violates these Terms or may be unlawful or objectionable. You agree that your Feedback will not violate another person’s intellectual property, privacy, or other rights; contain unlawful, abusive, or obscene material; or contain malware. You may not misrepresent the source of Feedback. You are responsible for Feedback you provide.

SECTION 12 — ERRORS, INACCURACIES, AND OMISSIONS

Information on the Services may occasionally contain errors or omissions relating to product descriptions, ingredients, availability, prices, promotions, or delivery charges and timing. We may correct information and, if necessary, contact you about an affected order. If we cannot fulfill an order on the terms presented, we will provide an appropriate refund for any payment received.

If you believe an ingredient or allergen statement is inaccurate or incomplete, please contact us promptly and do not consume the product while the concern is unresolved.

SECTION 13 — PROHIBITED USES

You may use the Services only for lawful purposes. You may not use them to violate applicable law; infringe another person’s rights; harass or harm others; submit false or misleading information; impersonate another person; send spam; introduce malware; or interfere with another person’s use of the Services.

You also agree not to collect other users’ personal information, interfere with the security or operation of the Services, circumvent access restrictions, or reproduce, extract, sell, or exploit the Services or their content without authorization. We may suspend or terminate access if we determine that you have violated these Terms.

SECTION 14 — AGENTS

This section applies if you use or enable software or a service that takes autonomous or semi-autonomous action on your behalf to access or interact with the Services (an “Agent”).

An Agent must identify itself truthfully and must not conceal that its interactions are automated, circumvent CAPTCHAs or other access controls, or disregard a request to stop accessing the Services. We may use technical measures to limit whether and how Agents access or interact with the Services.

An Agent making HTTP or HTTPS requests must identify itself as an Agent and disclose its name in its user-agent string using the format “Agent/[agent name].” An Agent must respond truthfully to prompts intended to distinguish automated activity from human activity and must not circumvent measures that control Agent access.

SECTION 15 — TERMINATION

We may suspend or terminate your access to the Services if you violate these Terms or if suspension is reasonably necessary to protect the Services, customers, or WYNWYN. Termination does not relieve you of amounts properly due for orders already placed or affect rights and obligations that, by their nature, should continue after termination.

The provisions concerning intellectual property, feedback, disclaimers, limitations of liability, indemnification, governing law, and other provisions intended to survive will continue to apply after termination, to the extent permitted by law.

SECTION 16 — DISCLAIMER OF WARRANTIES

Information presented on the Site is provided for general information purposes. While we make reasonable efforts to keep it accurate, we do not guarantee that all Site content will always be complete, current, or error-free. Product-specific ingredient and allergen information should be reviewed as described in Section 2.

EXCEPT FOR EXPRESS COMMITMENTS WE MAKE IN THESE TERMS OR AS OTHERWISE REQUIRED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT ACCESS TO THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. TO THE EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM IMPLIED WARRANTIES RELATING TO THE SERVICES. NOTHING IN THIS SECTION DISCLAIMS A WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED.

SECTION 17 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WYNWYN AND ITS OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SERVICES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, OR LIMITS YOUR RIGHTS UNDER OUR REFUND AND REPLACEMENT POLICY OR APPLICABLE LAW.

SECTION 18 — INDEMNIFICATION

To the extent permitted by law, you agree to indemnify, defend, and hold harmless WYNWYN, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, liabilities, damages, losses, and reasonable attorneys’ fees arising from your breach of these Terms, your violation of applicable law or a third party’s rights, or your misuse of the Services.

We will notify you of an indemnifiable claim, provided that a delay in notice will relieve you of your obligations only to the extent you are materially prejudiced. We may control the defense and settlement of the claim at your expense, including selection of counsel, but will not agree to a settlement that imposes a nonmonetary obligation on you without your consent, which will not be unreasonably withheld. You agree to cooperate reasonably in the defense.

SECTION 19 — SEVERABILITY

If a provision of these Terms is found unlawful, void, or unenforceable, it will be enforced to the fullest extent permitted by law or severed as necessary. The remaining provisions will remain in effect.

SECTION 20 — WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce a right under these Terms does not waive that right.

These Terms and the policies incorporated by reference constitute the agreement between you and WYNWYN concerning your use of the Services, except for any separate agreement that expressly applies to a particular transaction. They supersede prior communications on that subject. A rule requiring ambiguities to be construed against the drafting party will not apply to the extent permitted by law.

SECTION 21 — ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms and our rights and obligations in connection with a sale, reorganization, or transfer of our business, subject to applicable law.

SECTION 22 — GOVERNING LAW

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise. Subject to any mandatory rights you may have under applicable law, you and WYNWYN consent to the jurisdiction of the state and federal courts located in Harris County, Texas, for disputes arising from these Terms or the Services.

SECTION 23 — HEADINGS

Headings are for convenience only and do not affect the interpretation of these Terms.

SECTION 24 — CHANGES TO THESE TERMS

The current version of these Terms will be posted on this page. We may update them by posting a revised version and changing the effective date. We will provide any additional notice required by law. Unless applicable law requires otherwise, the Terms in effect when you place an order govern that order.
